MAP Pricing Policy

Unilateral Minimum Advertised Price (MAP) Policy

Pret, Inc. (“Pret”) is committed to preserving the strong reputation of its helmets, goggles, and accessories (“Products”), while supporting a quality network of retail partners (“Dealers”) engaged in promoting and selling the Pret brand. To protect Pret’s image, ensure fair competition, and maintain strong after-sales support, Pret is unilaterally instituting and implementing this Minimum Advertised Price (“MAP”) Policy for all Products advertised in the United States and Canada (“Policy”).

1. Scope of the Policy
This Policy applies to all advertised prices of Pret Products in the U.S. and Canada. Dealers remain free to establish their own final selling price. This Policy only governs advertised prices.

2. Minimum Advertised Price
The Minimum Advertised Price (“MAP”) is equal to the most recent Manufacturer’s Suggested Retail Price (“MSRP”) provided by Pret. MAP is unilaterally established and may be adjusted by Pret at its sole discretion.

3. Advertising Covered
Dealers must not advertise Pret Products at a price lower than MAP in any form of public communication, including but not limited to:

• Printed materials (flyers, inserts, coupons, newspapers, magazines, catalogs)
• Broadcast media (TV, radio, outdoor signage)
• Digital media (websites, e-commerce listings, social media, online ads, third-party marketplaces)
Clarifications:
• In-store advertising and point-of-sale signage are excluded.
• Website pricing visible to the public is considered an advertised price and must comply with MAP. However, the actual final selling price (e.g., “price in cart,” “call for price,” or negotiated discounts) is not restricted by this Policy.
• This Policy applies to all tactics intended to circumvent MAP, such as bundling Pret Products with other goods, offering gift cards or rebates that reduce the net advertised price, or using unauthorized discount codes.

4. Authorized Promotional Windows
Pret recognizes limited promotional periods. During these windows, Dealers may advertise Products below MAP, up to the following discounts off MSRP:

United States & Canada:
• Labor Day Weekend (September 4th - 6th, 2026) → with MAP of up to 20% (twenty percent) off the suggested retail price.
• Black Friday through Cyber Monday (November 27th – November 30th, 2026) → with MAP of up to 20% (twenty percent) off the suggested retail price.
• End of Season/Closeout Programs (starting March 15, 2027) → Discontinued (non-carry forward) helmets and goggles may be advertised with MAP of up to 40% (forty percent) off the suggested retail price made available by Pret. Products continuing into the next season are not eligible for deeper discounts.

First-time customer promo codes: Single-use codes of up to 15% off for new customer acquisition are permitted on full-price Products only and may not be combined with any promotional-window or closeout discount (see Section 5).

5. No Stacking of Discounts
Dealers may not combine, stack, or sequence discounts on the same Pret Product. The maximum advertised discount on any Pret Product is the single highest discount authorized under this Policy at that time. A Dealer may not apply a sitewide or general promotional offer, code, rebate, or gift card on top of a closeout or promotional-window discount.

Any general or sitewide offer, code, rebate, or gift card that reduces the net advertised price of a Pret Product below the applicable MAP, or below the authorized discount then in effect, is a violation under Section 3, regardless of how the offer is labeled.

The First-Time Customer promo code in Section 4 is the only standing exception to MAP. It may be applied to full-price Products only. It may not be combined with any promotional-window discount or closeout discount.

6. Maximum Advertised Price
This Policy does not establish maximum prices. Dealers are free to advertise Products above MAP.

7. Violations & Consequences
If a Dealer fails to comply with this Policy:

1. Pret may immediately withdraw promotional support, co-op funds, or marketing assets.
2. Repeated or intentional violations may result in suspension or termination of supply.

8. Administration & Enforcement

This Policy is unilaterally adopted by Pret. Enforcement and interpretation are at Pret’s sole discretion.

There will be no negotiation, discussion, or appeal of MAP determinations. This Policy is not an agreement with Dealers, and Pret does not seek Dealer approval or assurance of compliance.

Pret reserves the right to modify this Policy at any time.

Pret sales representatives and managers are not authorized to alter or waive the Policy.

All questions about this Policy must be directed to Pret’s MAP Administrator: mark@prethelmets.com
